ECB Clears UniCredit to Take Over Commerzbank
The ECB has authorised the Italian banking group to cross the 30% ownership threshold and increase its holding further without an upper limit.
UniCredit described the decision as an important milestone in its proposed acquisition and said it reflected the ECB’s confidence in the group’s financial strength and standing within the European banking sector.
Control Could Follow by Year-End
The remaining regulatory approvals and transaction conditions are expected to be completed around the end of the year.
At that point, UniCredit expects to hold approximately 50% of Commerzbank’s voting rights, giving it effective control of the bank.
The development marks a significant turn in a takeover battle that Commerzbank had initially resisted. The German lender eventually entered talks with UniCredit in July after months of opposition to the Italian bank’s growing stake.
Commerzbank Restructuring Adds to the Strategic Backdrop
The potential change of control comes as Commerzbank continues a substantial restructuring programme.
The bank announced 3,900 job cuts in 2025 and a further 3,000 reductions in May, while simultaneously increasing investment in artificial intelligence and other technology-led efficiency measures.
For the wider European banking sector, the deal would represent another important test of cross-border consolidation.
European policymakers have long argued that the region’s banking market remains too fragmented, limiting scale and efficiency compared with larger US institutions.
UniCredit’s progress therefore carries significance beyond the two banks involved.
If the remaining approvals are secured, the transaction would create a more powerful cross-border banking group and provide one of the clearest recent examples of consolidation beginning to reshape Europe’s financial landscape.
